Overview

Marcus is a partner and global director of our Corporate Practice. He specializes in international transactions, advising on all forms of M&A work, joint venture structures and venture capital transactions. Marcus has particular expertise in handling technology-driven cross-border projects. He advises on a wide array of matters including:

  • Entrepreneurs & Emerging Companies
  • Corporate Venture Capital
  • IPOs and Mergers & Acquisitions
  • Fund Setups, Structuring and Portfolio Investments
  • Pre-Venture, Venture and Growth Financings
  • Acting as external general counsel on general legal matters start-ups and growth companies face

Experience

Marcus studied at Harvard Law and Humboldt University, Berlin. He is a fluent speaker of English and German.

Before joining Caldwell, Marcus worked for 11 years in Freshfields’ Global Transaction Practice in Munich and Tokyo – most recently as a Counsel.

Over seven years at Freshfields´ Tokyo office, Marcus developed a strong technology and growth-focused transactional practice, advising large corporates and high-growth start-ups on their investments, fund raising rounds and overall growth strategy.

Having made or advised on close to 50 early and pre-IPO stage investments (including in some of the most well know tech companies), Marcus is highly regarded by clients for getting deals done. Harnessing his outstanding network of investors, Marcus helps start-ups to grow and connect them with the right investors. He truly understands the challenges and pitfalls founders are facing.

Marcus is actively seeking and building long-lasting relationships with corporate clients and founders alike. A large proportion of Marcus´ clients are repeat clients that he has been working with for many years.

Marcus’ recent experience includes advising:

  • Various private and listed Japanese and German companies on their growth equity and venture capital investments as well as on setting up their corporate venture capital programs*;
  • Tokyo- and Bangkok-based fintech Unicorn Opn Holdings on various fund raising rounds and M&A transactions*;
  • Various US-based start-ups on their equity and debt funding rounds;
  • Emerson (NYSE: EMR) on its acquisition of FLEXIM Flexible Industriemeßtechnik GmbH (“Flexim”), a global leader in clamp-on ultrasonic flow measurement for liquids, gases and steam*;
  • ​Eppendorf AG on its acquisition of the centrifuge business of Japan’s Koki Holdings*;​
  • The Yokohama Rubber Co., Ltd. on its acquisition of Trelleborg Wheel Systems Holding AB, the wheel systems business of Swedish-listed Trelleborg AB, for an enterprise value of over €2bn*;​
  • Ajinomoto, Japan’s largest food company, on its $532m acquisition of a 33.33% stake in Promasidor, a major seasonings and processed foods manufacturer that conducts business in 36 African countries*;
  • Ajinomoto on its sale of a feed-use amino acid company in France;
  • Kurita Water Industries on its acquisition of the paper, water and alumina business from Israel Chemicals*;​ and
  • Knauf on takeover and privatization of Chiyoda Ute, a Japan-listed manufacturer of gypsum boards*.
